Terms of Service

These Terms of Service ("Terms") govern your access to and use of the OnChalk platform, including the website at onchalk.com and the OnChalk web application (collectively, the "Service"), operated by OnChalk ("we," "us," or "our").
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
Service Description
OnChalk is a youth sports coaching platform that provides tools for playbook creation, player learning, coach development, and organization management. The Service is designed for coaches, players, guardians, and youth sports organizations.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify users of material changes.
Account Responsibilities
To use most features of the Service, you must create an account. When creating and maintaining your account, you agree to the following:
- Age requirement: You must be at least 13 years of age to create an account. If you are under 18, you represent that you have your parent or guardian's permission to use the Service.
- Accurate information: You agree to provide accurate, current, and complete information during registration and to update your information to keep it accurate.
- Account security: You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@onchalk.com if you suspect unauthorized access to your account.
- One account per person: Each individual may maintain only one account. Sharing account credentials with others is not permitted.
Subscription Terms and Billing
Certain features of the Service require a paid subscription. By subscribing to a paid tier, you agree to the following:
- Billing cycle: Subscriptions are billed on a recurring basis (monthly or annually, depending on the plan you select). Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.
- Payment processing: Payments are processed by Stripe. By providing payment information, you authorize us to charge the applicable subscription fee to your payment method.
- Price changes: We may change subscription prices with at least 30 days' notice. Price changes will take effect at the start of your next billing cycle after the notice period.
- Cancellation: You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period. No refunds are provided for partial billing periods.
- Free tiers: Player and Guardian accounts are free. Free access may be modified or discontinued with reasonable notice.
Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service in any way that violates applicable federal, state, local, or international laws or regulations.
- Use the Service to harass, abuse, threaten, or intimidate any person, including minors.
- Upload or transmit content that is unlawful, defamatory, obscene, or otherwise objectionable.
- Attempt to gain unauthorized access to other users' accounts, data, or any part of the Service's infrastructure.
- Use automated means (bots, scrapers, or similar tools) to access or interact with the Service without our express written permission.
- Interfere with or disrupt the integrity or performance of the Service.
- Impersonate any person or entity, or misrepresent your affiliation with a person or entity.
- Use the Service to collect personal information about minors for purposes unrelated to the coaching and development features of the platform.
We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated this Acceptable Use Policy.
Content Ownership
OnChalk respects the ownership of content created by our users. Content ownership on the platform is structured as follows:
- Coach-owned content: Playbooks, plays, installs, and signals created by a coach are owned by that coach. Coach-owned content is portable and travels with the coach regardless of organizational affiliation.
- Organization-owned content: Organizational data, including team structures, evaluation rubrics, combine configurations, and season settings, are owned by the organization that created them.
- Platform-owned content: The OnChalk platform, including its design, code, branding, documentation, and underlying technology, is owned by OnChalk. Nothing in these Terms grants you ownership of the platform itself.
By uploading or creating content on OnChalk, you grant us a limited, non-exclusive license to store, display, and process that content solely for the purpose of providing the Service to you. This license terminates when you delete the content or your account.
Account Deletion and Data Handling
You may request deletion of your account at any time by contacting us at support@onchalk.com. Upon account deletion:
- Your personal information will be deleted within 30 days, except where retention is required by law (such as financial transaction records).
- Coach-owned content (playbooks, plays, installs) will be permanently deleted.
- Your membership in organizations will be removed, and any organization-owned data associated with your contributions (such as evaluation records) may be retained by the organization in an anonymized form.
- Active subscriptions will be canceled, and no refund will be issued for the remaining portion of the current billing period.
Account deletion is irreversible. We recommend exporting any data you wish to keep before requesting deletion.
Intellectual Property and DMCA
OnChalk respects the intellectual property rights of others and expects users to do the same. You may not upload, share, or distribute content through the Service that infringes on the copyright, trademark, or other intellectual property rights of any third party.
If you believe that content on OnChalk infringes your copyright, you may submit a takedown notice under the Digital Millennium Copyright Act (DMCA) by sending the following information to support@onchalk.com:
- A description of the copyrighted work you claim has been infringed.
- A description of the material you claim is infringing and its location on the Service.
- Your contact information (name, address, phone number, and email address).
- A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law.
- A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.
- Your physical or electronic signature.
We will review valid DMCA notices and take appropriate action, which may include removing the infringing content and terminating the accounts of repeat infringers.
Third-Party Services
The Service relies on third-party providers to deliver certain functionality. By using OnChalk, you acknowledge and agree that your use of the Service is also subject to the terms and policies of these third-party providers:
- Stripe — Payment processing. Your payment information is handled directly by Stripe and is subject to the Stripe Services Agreement.
- Google Cloud / Firebase — Infrastructure, hosting, data storage, and authentication. Subject to the Google Cloud Terms of Service.
- Google Analytics — Website analytics and usage tracking. Subject to the Google Analytics Terms of Service.
OnChalk is not responsible for the practices, policies, or availability of any third-party services. We encourage you to review the terms and privacy policies of any third-party services you interact with through OnChalk.
Limitation of Liability
To the fullest extent permitted by applicable law:
- The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- OnChalk shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of profits, or loss of business opportunities, arising out of or related to your use of the Service.
- Our total aggregate liability to you for any claims arising from or related to the Service shall not exceed the amount you paid to OnChalk in the twelve (12) months preceding the event giving rise to the claim, or one hundred dollars ($100), whichever is greater.
- We do not guarantee that the Service will be uninterrupted, error-free, or free of harmful components.
Indemnification
You agree to indemnify, defend, and hold harmless OnChalk and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which OnChalk is headquartered, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts of competent jurisdiction in the applicable state.
Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. If we make material changes, we will notify you by email or through a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms.
